Full-Cycle Listings & Events in Q1 2017

Each quarter Blue Vault includes a section in the Nontraded REIT Industry Review dedicated to funds that have gone full-cycle.  

The tables included are intended to track those nontraded REITs that have liquidated, merged or been acquired by listed companies whose share prices can be observed. The first table tracks the subsequent performance of listed common stock that is associated with a full-cycle event where shareholders received listed common stock in exchange for their holdings in a nontraded REIT. The first table is not a complete listing of all nontraded REIT liquidity events. It does not include liquidity events that involved a combination of cash and listed shares where it would be misleading to measure the percentage change for only a portion of the shareholder’s value received.

New this quarter, we’ve added a second table which lists full-cycle events that resulted in a liquidating distribution of cash wherein shareholders did not receive listed common stock as all or part of the proceeds.

The values of the listed stocks and the percentage changes in those stocks do not represent the total returns or average annual rates of return to shareholders in these companies because quarterly distributions to shareholders are not included. The estimated full-cycle values listed in the second table also do not include distributions to shareholders during their holding periods. In the Blue Vault Full-Cycle Performance Studies, the average total returns to shareholders for all of the events listed in both tables, are reported for three different holding periods and compared to custom benchmarks. The custom benchmarks for each full-cycle REIT are based on both listed REIT returns and institutional portfolio returns, adjusted for asset types, location and leverage.

In our Full-Cycle Performance Studies, Blue Vault defines a “full-cycle event” for the purpose of calculating total returns to shareholders over the life of the nontraded REIT as those events that provide total liquidity to common shareholders which can be in cash or publicly-traded stock or a combination of both. When a nontraded REIT is merged with a company whose stock is unlisted, or when a liquidity event includes both unlisted stock and cash, or when, for any other reason shareholders cannot achieve full liquidity at the time of the merger or listing (i.e. when not all common share classes are listed immediately), the shareholder return cannot be calculated.

Nontraded REITs with Limited Operating Results for Q3 2016 are Now Available on Blue Vault's Website!

Each quarter Blue Vault includes a table of all nontraded REITs that are active but have yet to raise significant equity in their respective public offerings or have yet to acquire more than three properties.

In some cases, a new nontraded REIT program will receive its initial equity funding and/or investment properties from the sponsor before significant amounts of common stock have been issued through the initial public offering. For example, NexPoint Multifamily Capital Trust, Inc., had acquired an interest in a property from the Sponsor in exchange for 434,783 shares of its Class A common stock on April 7, 2016, but as of November 28, 2016, had sold only $4.67 million of Class A common stock in its public offering.

In other cases, the initial capitalization of the nontraded REIT was received through a private placement prior to the registration of the public offering. This was the case for KBS Growth & Income REIT, Inc., which had received $76.8 million in its Private Offering as of September 30, 2016, but $0.9 million in its Public Offering.

An added feature in this Q3 2016 Blue Vault Nontraded Industry Review is a new initial public offering (IPO) that has not yet been declared effective by the SEC. Rodin Global Property Trust, Inc., whose sponsor Cantor Fitzgerald Investors, LLC, is entering the nontraded REIT sector for the first time, filed an S-11 with the SEC on October 17, 2016, to offer up to $1.25 billion in Class A, Class T and Class I common stock. The SEC staff will review the S-11 and identify any disclosures that appear to conflict with SEC rules or applicable accounting standards, and can ask for revisions to the prospectus. Once any staff comments have been addressed, the SEC will issue an order declaring the registration statement “effective.” This means the company can proceed with the IPO.

August 2016 Alternative Investment Monthly Sales Are In!

August sales have picked up from those reported for July by 20% for REITs and over 36% for BDCs. August nontraded REIT sales exceeded both June and May numbers, increasing by over $62 million over the averages for those two months. BDC sales had their best recent month in June with $120.6 million and August fell short of that total with $113.1 million.

ARC Global Trust II and Global Net Lease Propose Merger Terms of 2.27 Shares of GNL Per Share of ARC Global Trust II

In a move intended to grow share value more accretively, improve diversification, and enhance portfolio metrics, American Realty Capital (ARC) Global Trust II has announced its intention to merge with Global Net Lease. According to a recent investor presentation, the deal would purportedly offer the benefits of increased scale and cost savings.

The merger agreement stipulates that each outstanding share of common stock, including restricted shares of common stock, of ARC Global Trust II will be converted into the right to receive 2.27 shares of common stock of GNL, plus a per-share dividend of $1.61 in cash upon completion of the transaction.

Blue Vault notes that if both GNL and ARC Global Trust II shareholders approve the deal, it will qualify as a full-cycle liquidity event for ARC Global Realty Trust II, shares of which originally sold for $25 per share.

As of close of business on August 5, GNL shares closed trading at $8.63. Based on the calculation provided in ARC Global Trust II’s filing, this would equate to a $21.20 value per share for stockholders at the close of the transaction. If approved, the transaction will close in the fourth quarter of 2016. The actual value of the merger to ARC Global REIT II shareholders would depend upon the price of GNL shares at that time.

Resource America, Inc. Signs Definitive Agreement to Be Acquired by C-III Capital Partners LLC

PHILADELPHIA, PA--(Marketwired - May 23, 2016) - Resource America, Inc. (NASDAQ: REXI) ("Resource America"), announced today that it has entered into a definitive agreement to be acquired by C-III Capital Partners LLC ("C-III"), a commercial real estate services company engaged in a broad range of activities, including primary and special loan servicing, loan origination, fund management, CDO management, principal investment, investment sales and multifamily property management. Under the terms of the agreement, Resource America stockholders will receive $9.78 per share in cash, or a total of approximately $ 207 million.

The agreement was unanimously approved by Resource America's Board of Directors following a comprehensive review of strategic and financial alternatives that the Company announced in January, 2016. The price per share represents a premium of over 128% from REXI's closing price on January 28, 2016, the day before it announced it would be reviewing strategic alternatives and a 51% premium over its closing price on May 20, 2016.

The addition of Resource America's asset management business to C-III's diverse suite of commercial real estate services will create a broad platform of products directed to retail and institutional investors. Resource America is the external manager of one publicly traded REIT, four non-traded REITS and two other registered investment companies and focuses on capital-raising activities through the independent broker-dealer network. C-III Capital Partners currently manages $3.8 billion on behalf of institutional investors in both debt and equity funds, a separate account and several structured product vehicles, including CRE-CDOs and ReREMICs. Its mortgage origination business has originated over $4.5 billion of commercial real estate loans since 2010. C-III Capital Partners is also one of the largest special and primary loan servicers in the United States, responsible for over 100 CMBS trusts comprising more than $100 billion of commercial real estate loans. The combined company will manage over $25 billion of gross assets, and own and/or manage over 70,000 apartment units across the U.S.

The acquisition is not subject to any financing conditions.

In June, 2012, Blue Vault published the first comprehensive study of full-cycle events in the nontraded REIT industry. In this updated study, the 4th edition, with the addition of 10 full-cycle events that were completed between November 11, 2014 through October 1, 2015, the sample size analyzed totals 45 REITs.
The study was prepared in collaboration with Dr. Richard Martin of the Real Estate Program, Terry College of Business, University of Georgia.

The purpose of this study is to assess the performance of nontraded REITs that have provided shareholders with full liquidity. Full-cycle events in the nontraded REIT industry occur when a REIT completes a listing of its common stock on a public exchange, is acquired by or merges with another entity, or liquidates its real estate portfolio. A full-cycle event provides shareholders with the opportunity to completely liquidate their common stock holdings in arms-length transactions for the first time. While nontraded REITs typically offer above-average distribution yields, one cannot fully assess their performance until their shareholders experience a full-cycle exit event that provides them with liquidity.
The release of the 4th Edition Nontraded REIT Full-Cycle Performance Study will update results from the 3rd edition, completed in 2014 study, and will again utilize custom benchmarks designed to match the individual REIT portfolios in regard to asset type and geographic diversification, and will answer many questions regarding specific and overall industry performance.

Cumming, GA – January 20, 2016 – Blue Vault Partners, LLC, has announced today the launch of a third-party due diligence platform, Blue Vault Due Diligence Services, LLC (“BVDDS”), to complement its existing research platform on nontraded REITs and nontraded Business Development Companies.

BVDDS will offer unique perspectives to help strengthen the due diligence process for independent Broker Dealers as they review alternative investment products. BVDDS’s approach will include both traditional methods and performance indicators to assist in the examination of such products.

Brown served as Senior Vice President – Asset Management at Signature Office REIT from 2014-2015, where he managed a 2.6 million square foot portfolio of 15 Class A office properties with an aggregate purchase price of more than $607 million. Prior to that, Brown held various positions at Wells Real Estate Funds from 2001-2013, with an emphasis on asset management. Brown’s other responsibilities included acquisition due diligence, leasing, and portfolio management. Brown is a Certified Public Accountant in Georgia and holds the CCIM (Certified Commercial Investment Member) designation.

BVDDS Managing Partner, Alan Royalty served as Vice President – Banking, Finance and Risk Management at Signature Office REIT from 2014-2015, PR_staff_RobertRoyaltywhere he was responsible for all banking, finance, portfolio tenant credit, and risk management activities. At Wells Real Estate Funds, Royalty oversaw all due diligence activities for Wells-sponsored investment products with Broker Dealers and third-party consultants from 2006-2013. Royalty’s additional responsibilities from 2002-2013 included tenant credit analysis, insurance, and risk management in support of the real estate group. Royalty is a Certified Public Accountant in Georgia and holds FINRA Series 7 and 63 securities licenses.

AR Capital Shuts Down Offerings, Quits Industry

AR Capital, the non-traded alternative investment sponsor founded by Nicholas Schorsch, will stop offering and selling new investment products after December 31st. The company says it will continue to manage the $19 billion of assets within its existing investment programs.

The affected offerings include: Business Development Corporation of America II, ARC Healthcare Trust III, New York City REIT II, ARC Hospitality Trust and ARC Global Trust II.

Cetera Financial Group has suspended sales of all AR Capital-sponsored investment offerings through their entire broker-dealer network, including First Allied Securities, Girard Securities, Investors Capital, VSR Financial Services, and The Legend Group. Cetera, the nation’s second largest independent broker-dealer by registered representative count, is the crown jewel of beleaguered RCS Capital Corp. (NYSE: RCAP), which also owns the managing broker-dealer of AR Capital’s offerings.
