MacKenzie Realty Capital Inc. (Nasdaq: MKZR) announced that it has expanded its tender offer for shares of National Healthcare Properties Inc. (NHP) after receiving stronger-than-expected participation from shareholders. According to a Form 8-K and accompanying press release, the company increased the number of NHP shares it is offering to purchase from 150,000 to 300,000 and is under contract to acquire more than $1 million of NHP shares at $7.27 per share. MacKenzie said it expects to finance the transaction through an additional loan agreement with Streeterville Capital under terms similar to prior financing arrangements.
MacKenzie noted that, based on NHP’s July 28 closing price of $16.08 per share, the acquired shares currently represent an unrealized gain of more than $1.2 million, assuming the market price remains unchanged until the shares become freely tradable in October. Chief Executive Officer Robert Dixon said the purchase of nontraded REIT shares has long been a profitable strategy for the company that supports its balance sheet and cash flow. Separately, the company reported that its Aurora at Green Valley multifamily development is now fully leased and ahead of projected net operating income, while wholly owned subsidiary MacKenzie Apartment Communities declared and paid its first quarterly dividend to MacKenzie Realty Capital of $0.045 per share.
