ExchangeRight’s Essential Income REIT provided details on October 27, 2026, about its acquisition of the Dow Texas Innovation Center, a 664,100-square-foot research and development campus in Lake Jackson, Texas, within the Houston metropolitan area.
The REIT acquired the property from Brixton Capital through a 721 exchange. Brixton contributed the property in exchange for units in the REIT’s operating partnership. The 34-acre campus is fully leased to The Dow Chemical Company under a long-term, single-tenant triple-net lease.
ExchangeRight said the transaction included the assumption of below-market fixed-rate financing. Management expects the acquisition to benefit the REIT’s net asset value and adjusted funds from operations, or AFFO. Those anticipated benefits are management expectations rather than demonstrated post-acquisition results. The purchase price was not disclosed.
Why We’re Watching
For advisors, the transaction highlights two separate questions: how a property owner transitions into an operating partnership, and how that contribution affects existing REIT investors. Receiving operating partnership units changes the seller’s ownership exposure. Evaluating the acquisition’s effect on the REIT also requires examining the property’s contribution value, associated debt, and obligations attached to the units issued.
Advisors should examine subsequent reporting for changes in AFFO per share, distribution coverage, leverage, and tenant concentration. Financing described as below market can be relevant, but its balance, maturity, and repayment terms still matter. A larger portfolio alone does not establish improved investor economics, and a property contribution should not be confused with cash liquidity for investors.
