SmartStop Self Storage REIT General Counsel and Secretary Nicholas Look sold 1,025 shares of the company’s common stock in an August transaction while retaining significant equity-linked holdings in the REIT, according to a filing with the Securities and Exchange Commission.
Look sold the shares on August 14 at $34.36 per share, representing proceeds of approximately $35,200. Following the transaction, he directly owned 588 shares of SmartStop common stock.
The common shares, however, represent only a portion of Look’s economic interest in the company. According to the filing, he continues to hold more than 61,000 long-term incentive plan units, or LTIP Units, of SmartStop OP, L.P., SmartStop’s operating partnership.
Those holdings consist of three separate LTIP awards. Look holds approximately 15,827 units that vest ratably over four years beginning December 31 of the year they were granted, subject to continued employment or service. He also holds approximately 15,908 performance-based LTIP Units, with the number reported representing 200% of the target award and the number ultimately earned dependent on specified performance measures. A third award consists of 29,319 LTIP Units that vest ratably over four years beginning on the first anniversary of issuance.
Vested LTIP Units can be converted into common units of SmartStop’s operating partnership. Those common units, in turn, may be redeemed for SmartStop common stock on a one-for-one basis or, at the company’s election, the cash value of the shares.
Look also retains 12,376.5 Class A-1 limited partnership units in the operating partnership. Like the operating partnership common units, the Class A-1 Units are redeemable for SmartStop common stock on a one-for-one basis or the equivalent cash value at SmartStop’s election.
Taken together, the holdings show that the August stock sale substantially reduced Look’s directly held common shares but did not eliminate his longer-term equity exposure to SmartStop. His LTIP and Class A-1 positions continue to provide an economic interest tied to the company’s common stock, although some of the LTIP awards remain subject to vesting and performance conditions.
SmartStop’s history also gives the filing particular relevance to the alternative investment industry. The self-storage REIT was previously a nontraded REIT before completing an underwritten public offering and listing its shares on the New York Stock Exchange under the ticker SMA in April 2025. SmartStop also continues to participate in the nontraded REIT market through its sponsorship and management of other self-storage investment programs.
As of year-end 2025, SmartStop sponsored Strategic Storage Growth Trust III, Strategic Storage Trust VI and Strategic Storage Trust X. Those managed REITs collectively owned 52 operating properties with approximately 41,370 units and 4.5 million rentable square feet and represented approximately $1.07 billion in assets under management.
The August insider transaction therefore provides a look at executive equity ownership at a company that has transitioned from the nontraded REIT market to the public markets while maintaining a significant presence in the alternative investment industry through its managed REIT platform.
