RREEF Property Trust Files for $1.95 Billion Fifth Public Offering
RREEF Property Trust outlines plans for its next public offering as the perpetual-life, nontraded REIT continues its capital-raising program.

RREEF Property Trust Inc. has filed a registration statement with the Securities and Exchange Commission for its fifth public offering, seeking to raise up to $1.95 billion through the sale of common stock. The proposed offering consists of up to $1.75 billion in shares sold through the primary offering and up to $200 million in shares issued under the company’s distribution reinvestment plan. The perpetual-life, nontraded REIT plans to offer Class A, Class I, Class M-I, Class S, and Class T2 shares in the primary offering, while Class N and Class T shares would be available only through the reinvestment plan. DWS Distributors Inc. will serve as dealer manager for the best-efforts offering, which carries a minimum initial investment of $2,500.

RREEF Property Trust is externally advised by RREEF America L.L.C., part of DWS’s global real estate investment business. The REIT’s objectives include generating current income, preserving investor capital and achieving appreciation in net asset value. As of March 31, 2026, its direct real estate portfolio included eight properties valued at approximately $444.8 million and diversified across property types and geographic markets. The company intends to continue investing primarily in office, industrial, retail and residential properties, with the potential to invest in self-storage facilities and real estate-related securities and loans. Its aggregate NAV was approximately $211.7 million as of March 31.

The REIT’s shares will not be listed on a securities exchange, and purchase prices will generally be based on the applicable class’s daily NAV per share, plus certain commissions and fees where applicable. Although the company maintains a share redemption plan, redemptions are subject to monthly and quarterly limits and may be reduced, suspended or discontinued by the board. The filing states that redemption requests exceeded applicable limits during each month from July 2024 through January 2026 and again from March through June 2026; February 2026 was the sole month during that period in which all requests were honored. The registration statement has been filed but was not yet effective as of the filing date, and shares may not be sold until the SEC declares it effective.
